Any legal dispute, controversy, or claim arising under this policy shall be subject to the exclusive jurisdiction of the competent civil courts situated at Ahilyanagar (Ahmednagar) / Pune, Maharashtra, India.

TechSartthi reserves the right to amend this Privacy Policy periodically to reflect changes in regulatory directives under the DPDP Act or technological enhancements. Updates become effective immediately upon posting to this URL, with the “Last Updated” date revised accordingly.

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement entered into between the entity or individual commissioning services (“Client”, “You”, or “Customer”) and Sartthi AI Private Limited, operating through its custom software and engineering division TechSartthi (“TechSartthi”, “Company”, “We”, or “Us”).

By executing a Statement of Work (SOW), issuing a purchase order, paying a project advance deposit, or commissioning custom website development, mobile application programming, IoT hardware telemetry, CRM/ERP development, or AI automation workflows, the Client unreservedly accepts and agrees to be bound by these Terms.

This Agreement is executed under the provisions of the Indian Contract Act, 1872 and the Information Technology Act, 2000.

Every custom software project undertaken by TechSartthi is governed by an individualized, written Scope of Work (SOW) or Technical Specification Document. The SOW explicitly enumerates:

TechSartthi is under no legal obligation to perform tasks, build integrations, or design layouts not explicitly enumerated in the mutually approved SOW.

We recognize that software requirements evolve. If the Client requests feature additions, architectural alterations, third-party API integrations, or workflow revisions that fall outside the approved SOW (“Scope Creep”), the following protocol applies:

TechSartthi prices projects on a transparent, milestone-based investment structure, eliminating unpredictable hourly billing:

Unless a customized milestone schedule is defined in the project SOW, standard project engagements adhere strictly to the 30 / 40 / 30 Milestone Disbursement Schedule:

All invoices are issued by Sartthi AI Private Limited with applicable Goods and Services Tax (GST). Invoices are due within 7 business days of dispatch. Work on subsequent milestones pauses if invoice payments remain outstanding beyond 10 business days.

We believe clients should genuinely own what they pay for. Unlike proprietary SaaS builders who trap Indian businesses in monthly rental fees:

Software delivery requires proactive collaboration. Project delivery timelines are strictly contingent upon the Client fulfilling the following dependencies:

Both parties agree to treat all information exchanged during the engagement as strictly confidential. This encompasses business logic, proprietary algorithms, financial metrics, customer lists, API keys, and strategic trade secrets.

Neither party shall disclose, reproduce, or distribute confidential information to any third party without prior written authorization, except as required by law or to authorized engineering staff bound by equivalent confidentiality covenants. This covenant survives the termination or completion of this Agreement for a period of 3 years.

Every project delivered by TechSartthi includes a complimentary post-launch technical warranty:

Warranty Scope: Covers the remediation of reproducible software bugs, server crashes, layout regressions, or logic errors that deviate strictly from the agreed SOW.

Warranty Exclusions: Does not cover external third-party platform downtimes, hosting provider service disruptions, policy alterations or API deprecations by third-party services, client-side server modifications made by unauthorized personnel, or cybersecurity breaches resulting from compromised client credentials.

Ongoing operating system updates, database backups, performance monitoring, and feature iterations beyond the warranty period are available under our structured Annual Maintenance Contracts (AMC).

To the maximum extent permitted by applicable Indian law:

Either party may terminate an active engagement for convenience by providing 14 business days written notice via registered email to connect@sartthi.com.

Upon notice of termination, TechSartthi ceases work immediately. The Client shall remain liable to pay for all work completed, milestone deliverables produced, and unrecoverable third-party commitments incurred up to the termination date. All completed and paid-for code and design assets will be packaged and delivered to the Client. Mobilization advance deposits allocated to engineer scheduling are non-refundable.

This Agreement, and all claims or controversies arising out of or relating to its formation, execution, or breach, shall be governed strictly by and construed in accordance with the substantive laws of the Republic of India, without regard to conflicts of law principles.

In the event of any dispute, controversy, or claim, the parties agree to first attempt resolution through good-faith executive consultation within 15 calendar days. If unresolved, the dispute shall be finally settled through binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 by a sole arbitrator mutually appointed by the parties. The seat and legal venue of arbitration shall be Ahilyanagar (Ahmednagar) / Pune, Maharashtra, India. The arbitration proceedings shall be conducted in English.

Subject to the arbitration clause, the competent civil courts located in Ahilyanagar (Ahmednagar) / Pune, Maharashtra, India shall have exclusive jurisdiction over all matters arising hereunder.
